Team Overview

The Equity Capital Markets (ECM) team in Hong Kong is part of our Corporate Transactions practice. We have extensive experience in advising on complex equity and stock debt transactions, in particular for clients in highly regulated industries such as finance, TMT, cultural and media, healthcare, education, retail and real estate.

We have established close relationship with the Hong Kong Stock Exchange and various regulatory agencies in Hong Kong, and regularly act for the following corporate transactions:

  • Hong Kong listing including IPOs and secondary offerings (share placements, rights issues, public offerings, block trades and other financing activities);
  • Pre-listing restructuring;
  • Pre-listing financing;
  • Post-listing compliance; and
  • Merger & acquisitions.

In addition, we benefit from the support of our regulatory, commercial, litigation and insolvency practices.

The firm is looking for an associate with strong knowledge in ECM, M&A and post-listing compliance work to join our Corporate Transactions practice. Ashurst has a proven track record in developing lawyers and the vacancy represents an outstanding opportunity for a team-player with strong technical skills and an impressive commercial approach.

Typical responsibilities for the role include:

  • Executing the full cycle of IPO, M&A transactions and post-listing compliance;
  • Drafting prospectus, disclosure under the Listing Rules and legal documents;
  • Conducting due diligence and verification exercises for IPO and M&A transactions;
  • Advising clients and preparing formal legal opinions;
  • Liaising with counter parties;
  • Providing structured supervision and on-the-job training to juniors;
  • Participating in business development and networking activities; and
  • Contributing to department know-how.

Risk and Control: Ensure that all activities and duties are carried out in full compliance with our regulatory requirements and internal policies.

Essential Skills And Experience

  • Hong Kong qualified with 2+ years of post-qualification experience on ECM, M&A (both public and private) and compliance work gained within a reputable international law firm;
  • Excellent communication skills, both written and verbal, in English and Chinese (ideally a native Mandarin speaker);
  • Superior drafting ability and excellent prospectus drafting skills;
  • A commercial approach and an ability to articulate and negotiate effectively;
  • Strong attention to details with well-developed analytical skills;
  • An enthusiastic team player who can provide leadership and mentoring to juniors whilst also work independently;
  • A proactive, positive and energetic approach with a commitment to providing excellent service; and
  • A desire to interact with the market and build client relationships
